GOINN AND USER are named all together as THE PARTIES in this AGREEMENT
When the USER completes the registration procedures by clicking the "sign up" button on the www.girisimciyedonus.com website and/or when the User starts using the website, he/she shall declare in digital environment that he/she has read this AGREEMENT, is informed and accepts it with all its provisions. If the USER does not accept this AGREEMENT, the User should not sign up and should not use girisimciyedonus.com.

3. LICENSE and INTELLECTUAL PROPERTY
Rights on All Photos, Videos, Texts and Other Materials on the Website; It is protected in accordance with the provisions of the Law No. 5846 Law on Intellectual and Artistic Works, Decree Law No. 554 on the Protection of Industrial Designs, Decree Law No. 556 on the Protection of Trademarks.
According to the Law No. 5846 on Intellectual and Artistic Works, the copyright of a work belongs to the author.

The USER shall not partially or completely take ownership of the materials and contents on this site by changing or without changing contents.

The usage licence that given to the USER with this AGREEMENT grants the right to access, operate for 2(two) months, view and use of the girisimciyedonus.com within the frame of the rights and limits specified in this AGREEMENT.
By this AGREEMENT, GOOINN shall give the USER a simple (non-exclusive) usage license to benefit from according to the documents that can be given with girisimciyedonus.com.
The USER shall accept not to change, adapt, translate, sell any part of the contents on girisimciyedonus.com; shall accept not to prepare derivative or processed works from this content/product/service, shall accept not to break the order of this content/product/service, shall accept not to use any content, images, clips, musical work or composition, words and composition used within the scope of this service, for purposes other than this AGREEMENT, shall accept not to change them, not to reverse engineering in the manner of disrupt the integrity or attempt to post them in any media.
The USER shall not download or save all or a part of girisimciyedonus.com to his/her computer and shall not produce a partial/complete copy of girisimciyedonus.com. He/she shall not allow such copies to be used by others for any purpose, and shall not offer copies to their benefit and shall not submit for theirs information.

In accordance with this AGREEMENT, the USER shall accept preserve confidential information which are not for the purposes of use of girisimciyedonus.com and learned during the use of girisimciyedonus.com about the system, the third parties who have rights on the works, including GOOINN's content, media or platform suppliers, or GOOINN, and the USER shall accept not to disclose them directly or indirectly to the partially or completely third parties.
All rights of GOOINN, of GOOINN services, GOOINN information, GOOINN's actions subject to copyright , GOOINN trademarks, GOOINN commercial outlook or any tangible and intellectual property rights owned by GOOINN, including GOOINN's all assets, real and personal rights, commercial information and its rights relevant to know-how are reserved.
If the USER does not adhere to its commitments and obligations under this article, the USER will be sole responsible for demands of the institution and third parties and, the USER will be responsible, including but not limited to licensors of the work and content, for bear the amount of compensation requested from GOOINN for the third parties that suffered a loss and including but not limited court costs and attorney's fees and any other expenses.
4. DETAILS OF SERVICE PRESENTED and RETURN
www.girisimciyedonus.com is an online education platform that has other software tools that work simultaneously with video and videos.
The online education offered on this platform is presented under the following plans:
Trial Plan:It is free for registered users but can only try the first 3 steps of the 13 steps. To see, follow and use the ongoing steps, the USER shall purchase one of the other packages.
Turning into Entrepreneur:This plan is charged, and the fee is 199TL + VAT. When you purchase this plan, you gain right to access to all 13 steps for 2 months.All content entered at the end can be downloaded as pdf extension. During the 13 steps, some steps are prevented to go back accordingly the methods used.
Retroactive changes cannot be made after step 8 is completed.
Mentor Supported Plan:Mentor Supported Plan: This plan is charged, and the fee is 399TL + VAT. When you purchase this plan, you gain right to access to all 13 steps for 2 months.
At the end, all content entered as pdf extension can be downloaded. During the 13 steps, some steps are prevented to go back accordingly the methods used.
Retroactive changes cannot be made after step 8 is completed.
Unlike the Turning into Entrepreneur Plan, 250 words comments from mentors that determined by GOOINN are sent to the USER via the system within 5 weekdays after the USER completes 13 steps.
And the USER shall demand a date for a face-to-face meeting with the mentors through the "Transformation" tab in the menu that the USER sees after logging in.
The Mentors shall respond the demand of date by e-mail within 3 working days and the meetings shall be made by determining a date according to common availability.
If the USER agrees to come to the Kadıköy district of Istanbul with her/his own means, the meetings are held face-to-face, otherwise, they are held by using one of the digital interview tools.
These digital meeting tools shall be Skype, Whatsapp or FaceTime, but other similar tools can be used consentaneously between the USER and GOOINN.
The USER can only give up the online education service during the step 4 but before completing the step 4 and can demand the refund of the payment made by using the right of withdrawal.
In this case, the total payment made by the USER shall be returned to her/him.
After the step 4 is completed by the USER and after this step is fully utilized, the USER shall not use her/his right of withdrawal and no payment will be refunded to her/him.
Whether or not the content of online education (video, presentation, document, etc.) is displayed is technically determined by girisimciyedonus.com. In this respect, girisimciyedonus.com's records and data are based on whether the USER use the service (for example whether the user watch the videos). The USER shall accept beforehand this situation.
The USER, who viewed the content online, provide required usage.
5. RIGHTS AND OBLIGATIONS OF THE USER
5.1. Non-Commercial Use

GOOINN reserves the right to change the rights given regarding the usage to the USER within the scope of membership at any time.
The USER shall not make any transactions or interventions in a way that will damage, prevent access, overload, or damage the websites, goods or services, software, data of GOOINN or of its content, media or platform suppliers and shall not use it in a way that prevents third parties benefiting from GOOINN services.
Without the written consent of GOOINN, the USER shall not transfer, rent, offer for the use and/or benefit of or sell the right given by this AGREEMENT to third parties, even free of charge.

5.2 Appropriate Usage

6. GOOINN’s RIGHTS AND OBLIGATIONS
GOOINN may give 'link' to other websites and/or portals, files or content owned and operated by third party vendors, providers and other third parties that are not under GOOINN's control.

8. REQUIRED HARDWARE and INTERNET SPEED
It is the USER's responsibility to provide and maintain all required computer hardware and communication equipment to access and/or use girisimciyedonus.com.
In accordance with this AGREEMENT, the USER shall declare, accept and commit that it will use the girisimciyedonus.com, which he/she has the right of use, on a hardware with minimum technical features that can support the service offered by girisimciyedonus.com and will provide the required hardware and that GOOINN is not responsible for software-hardware mismatch, lack of hardware or problems arising from internet speed/service, that GOOINN is not responsible for any damage caused by this reason, that GOOINN's responsibility is limited to granting usage licence.
9. LIMITATION OF LIABILITY and GUARANTEE

GOOINN shall not be held responsible for any direct or indirect damage, loss of income or data, or any other damage incurred by the USER or by any other third party due to access to this website or use of this website or any other website linked from this website or the services on this website.

Under any circumstances, GOOINN's liability in accordance with any provision of this AGREEMENT, especially any damages that may occur due to girisimciyedonus.com, is limited to the price paid, if any, by the USER for girisimciyedonus.com.
10. AGREEMENT CHANGES
GOOINN may, at its own discretion and unilaterally, amend this AGREEMENT at any time it considers appropriate.
The amended provisions of this AGREEMENT shall become valid on the date they are announced on the website of girisimciyedonus.com; The USER is deemed to have accepted the changes in this AGREEMENT after the changes are declared on GOOINN's website.
We recommend that you review this AGREEMENT constantly in order to be aware of these changes. The rest of the provisions will remain in force and will continue to be effective and bear consequences. This AGREEMENT shall not be changed by the USER's unilateral declaration.
11. FORCE MAJEURE
In all cases deemed 'force majeure' legally, GOOINN is not liable for late or incomplete performance or non-performance of any of its obligations determined in this AGREEMENT.
Such circumstances will not be deemed as delay, incomplete performance or non-performance or default for GOOINN, or no compensation shall be claimed from GOOINN for these situations.
The term "force majeure" will be interpreted as unavoidable circumstances that, include but is not limited to, natural disasters, riots, wars, strikes, communication problems, substructure and internet failures, power failure, and bad weather conditions which GOOINN cannot prevent despite its reasonable control and despite its due diligence.
12. ENTRY INTO FORCE AND TERMINATION OF THE AGREEMENT
The USER is deemed to have accepted the terms determined in this AGREEMENT as soon as he/she uses girisimciyedonus.com or declares that he/she accepts this AGREEMENT, and this AGREEMENT shall become effective between the PARTIES indefinitely.
The USER, beginning from the date he/she uses girisimciyedonus.com or approves this AGREEMENT, the USER shall accept and undertake to immediately compensate for the loss and all kinds of damages that GOOINN and/or 3rd parties may suffer due to acts contrary to the rights and obligations determined in the AGREEMENT and/or failure to fulfill their performances and commitments.
This AGREEMENT and the USER's right to use girisimciyedonus.com in accordance with the AGREEMENT, without the need for any warning, will be abated by (a) USER's termination of using girisimciyedonus.com and termination of membership by following the instructions of unsubscribing (b) by realization of one of the dissolving conditions listed in this AGREEMENT (c) by termination of the USER's subscription agreement with GOOINN is for any reason.
In the case of the right to use the website, which you have pursuant to this AGREEMENT and AGREEMENT, terminates for any reason; in the case of the USER cancels the package of girisimciyedonus.com at own request, the USER license will be terminated by GOOINN without any refund to the USER.
If the USER violates any of the provisions in the AGREEMENT, GOOINN has the right to terminate the agreement immediately and cancel the USER's access to girisimciyedonus.com and the license granted in this AGREEMENT and if GOOINN wants, at its sole discretion, the situation should be corrected within 10 (ten) days, otherwise, the USER may be notified in written that the AGREEMENT will be terminated.
If the situation is not solved within this period, GOOINN may terminate this AGREEMENT with written notice at the end of the period.
GOOINN reserves the right to unilaterally cancel the USER's license to use girisimciyedonus.com without prior notice in case it detects clearly illegimate and criminal act of use.
Upon the expiration of this AGREEMENT, in case of the request of GOOINN, all the kinds of content, information, music, images and other types of content obtained from girisimciyedonus.com; the USER shall accept, declare, and commit to delete them from all computers and/or storage media under her/his ownership, management or control.
13. DISPUTE RESOLUTION
This AGREEMENT and its implementation, interpretation, management of legal relations arising under its provisions and resolution of disputes shall be subject to Turkish Law.
The PARTIES shall agree that ISTANBUL Courts and Enforcement Offices are authorized for disputes arising from the implementation of this AGREEMENT.
14. DATA APPLICATIONS AND PRIVACY POLICY
All matters regarding the accuracy, security, storage, keeping away from the information of third parties and use of the GOOINN one and only Password and other information to be given while registering or after registering to girisimciyedonus.com are entirely under the responsibility of the USER, GOOINN is not responsible for any mistakes in the logged in information and/or access to girisimciyedonus.com on behalf of the USER through the use of USER information that acquired/learned by someone else.
GOOINN directly or indirectly shall not have any responsibility related to the damages incurred or to be incurred by the USER and/or third parties arising from the security, storage, keeping away from the information of third parties, use of the means of access (username and password) of the USERS for girisimciyedonus.com.
Within this scope, the USER cannot claim any damages or compensation from GOOINN under any name. GOOINN's Privacy Policy regarding the personal data protection of GOOINN is on the relevant page of http://www.girisimciyedonus.com.
The USER shall accept and commit to keep confidential indefinitely this AGREEMENT and any information she/he may learn about GOOINN, regardless of the termination of this AGREEMENT for any reason.
Besides, the USER's acceptance of the "Personal Data Processing Clarification Text" prepared relevant to Personal Data is also required for benefiting from the services offered on the site.
15. OTHER PROVISIONS
The USER shall not alienate this AGREEMENT and its rights under this AGREEMENT to another person or institution.
The USER shall accept that GOOINN may unilaterally assign its rights, that GOOINN may assign its rights and responsibilities under this AGREEMENT to a third person/institution/party or execute a subcontracting without the consent of the USER.
GOOINN shall not waive any of its rights under this AGREEMENT by delaying the implementation of its rights or enforcing just a part of it.
Any waiver of rights to be enforced regarding violations of the provisions of this AGREEMENT or defaults under this AGREEMENT shall not enter into force unless relevant waiver is arranged in writing and signed by the party that abdicates.
A waiver of any breach or default will not signify a waiver of any subsequent breach or default.
If any provision of this AGREEMENT is deemed invalid or unenforceable by the court and/or competent authority, it will not affect the validity or enforceability of the remaining provisions of the AGREEMENT. If it is decided that a provision or some provisions of this AGREEMENT are not enforceable by a court or competent authority decision, GOOINN shall correct this provision(s) in accordance with the mandatory rules of the law and in order to achieve purpose of the PARTIES determined in this AGREEMENT or may decide to keep this provision(s) separated from the AGREEMENT and to keep the other provisions of the AGREEMENT fully effective and valid.
If the USER violates any provision of this AGREEMENT, GOOINN has the right to pursue all legal proceedings.
